


We should not take recall of a board member lightly, and recall should be used only in those cases in which a director exhibits behavior that runs counter to ethical, procedural, and/or legal aspects of the fiduciary duty underlying a director’s service. In the case of Michael J. Williams, we believe that his behavior and actions rise to the level of egregious acts that require his removal from the board. He has been asked on several occasions to resign. Because he has refused, members of Greenhills submitted a petition for a special meeting of the membership to recall him.
